Terms of Service

These Terms of Service govern access to the Vantage platform, our operational intelligence software for enterprises. By using the platform under an active engagement, your organization (the “Customer”) accepts these terms. Where the Customer executes a Master Services Agreement with Vantage, that agreement controls in case of conflict.

Service description

Vantage is a multi-tenant operational intelligence platform that observes signals across the Customer’s authorized enterprise systems and surfaces those signals to designated leadership through scheduled digests, ad-hoc queries, and configurable thresholds. Vantage operates four agents — Operations, Quality, Analytics, and Resource — each calibrated to the Customer’s operational signals during the engagement’s discovery and activation phases.

Read-only enforcement

Vantage agents are architecturally read-only. They observe the Customer’s authorized systems; they do not write to those systems, initiate workflows on those systems, or take operational action without explicit, separately-authorized human approval through a Customer-administered control. Read-only enforcement is a property of the connector layer, not a policy assertion.

Where future Vantage capabilities introduce write-back functionality, those capabilities will be opt-in per Customer, scoped per system, logged in full to the Customer’s audit log, and governed by an amendment to the Customer’s Master Services Agreement.

Customer responsibilities

  • Provide accurate connector credentials scoped to the read-only permissions Vantage requires for each authorized system
  • Designate administrative users who hold authority to grant, modify, and revoke connector scopes on behalf of the organization
  • Communicate agent observations within the Customer’s leadership and operating cadence — Vantage surfaces signals; humans interpret, decide, and act
  • Notify Vantage of changes to authorized systems, regulatory environment, or commercial terms that affect the engagement

Vantage’s responsibilities

  • Maintain read-only architectural enforcement for all agents
  • Maintain multi-tenant isolation at the agent and storage layer; no agent reads across tenants
  • Maintain signal accuracy within stated tolerances per signal category, with calibration sessions during engagement and recurring recalibration thereafter
  • Maintain the security posture described in the Security & Architecture page and the Architecture Whitepaper
  • Provide reasonable support to designated Customer administrators during business hours of one of the four operating regions

Liability and limitations

Vantage observes operational signals; it does not make operational decisions. The Customer’s leadership is solely responsible for the operational decisions that follow from observed signals. To the maximum extent permitted by applicable law, Vantage’s liability under any cause of action arising from use of the platform is limited to the fees paid by the Customer during the twelve months preceding the event giving rise to the claim. Vantage is not liable for indirect, incidental, consequential, or special damages.

These limits and the underlying liability framing are subject to legal review prior to commercial commitment. Customers entering commercial agreements receive finalized Master Services Agreement language separately.

Termination

Either party may terminate an engagement on the terms set out in the Master Services Agreement, including for cause where the other party materially breaches the agreement and fails to cure within thirty days of written notice.

On termination, Vantage executes a verifiable tenant-scoped deletion of the Customer’s observed signals, agent state, and audit history within thirty days, retaining only what is required by applicable law or what the Customer has explicitly requested be exported and retained.

Dispute resolution

The Master Services Agreement specifies the governing law, jurisdiction, and dispute resolution mechanism for each engagement. Where commercial terms have not yet been formalized, the parties agree to negotiate disputes in good faith for thirty days before seeking resolution through any other mechanism.

These Terms are operational and subject to legal review before commercial commitment. Customers entering commercial agreements receive finalized Master Services Agreement language separately.
